Preliminary warning
Investing in ETFs and shares involves a risk of loss of capital. Prices can go down as well as up. The “Held” status means that the execution of the order has been verified and that the position is recorded with the corresponding custody references. This status constitutes internal proof of holding. It does not constitute a guarantee against market risk.
Nothing on this site or from the Invest assistant constitutes investment advice.
Title I — Framework of the Service
Article 1 — Purpose and scope
1.1. These Specific Terms (the “Invest Terms”) set out the specific arrangements for access to and use of the MyProsperise Invest — ETFs & Shares service (the “Service”), offered under the MyProsperise brand.
1.2. They supplement the General Terms of Use of the MyProsperise platform. In the event of conflict, the Invest Terms prevail in respect of all matters relating exclusively to the Service.
1.3. The Service enables eligible Users, after individual activation, to view a catalogue of financial instruments, to place buy and sell instructions, to fund those instructions, to monitor their positions, to schedule monthly investments, to receive the dividends and distributions due on their securities and to analyse the performance of their portfolio.
1.4. Access to the Service is strictly personal, non-transferable and subject to prior administrative approval.

Article 3 — Provider of the Service
3.1. The investment services offered under the MyProsperise brand are provided by Prosperise Capital LLP within the scope of its permissions. Prosperise Capital LLP is authorised and regulated by the Financial Conduct Authority (FCA) under Firm Reference Number 792154 for certain investment activities. It is not a credit institution.
3.2. The execution of Orders and the custody of Instruments may involve execution, settlement or custody service providers. The involvement of these service providers does not alter Prosperise Capital LLP’s information obligations towards the User.
Article 4 — Applicable documents
The Service is governed by these Invest Terms, the General Terms of Use, the information presented on each Instrument Page (including, for ETFs, the key information document and the issuer’s page), the summary presented before each Order and the Privacy Policy.
Article 5 — No investment advice
5.1. No communication from MyProsperise (website, app, emails, AI assistant, simulators) constitutes investment advice, a personal recommendation or a solicitation to buy or sell.
5.2. The Service operates on an execution basis, carrying out the User’s instructions. Prosperise does not select Instruments on the User’s behalf and does not assess the suitability of an Instrument for their personal situation within the framework of the Service.
5.3. The User acknowledges that the investment decisions they take through the Service are their sole responsibility.
Article 6 — Language and communications
These Terms are drawn up in French and in English; both versions are equally authoritative. Any translations into other languages are provided for information only. The Invest area and its communications are offered in French, English, German, Italian, Dutch, European Portuguese, Romanian and Slovenian.
Title II — Access to the Service
Article 7 — Activation on request
7.1. Access to the Service is not automatic. It is subject to an activation request made by the User from their MyProsperise account and to prior administrative approval. Activation is neither automatic nor a matter of right.
7.2. Prosperise reserves the right to accept, refuse or revoke the activation of the Invest area, subject to applicable legal provisions.
Article 8 — Access conditions
Activation is subject to holding an active MyProsperise account and a verified KYC status, and to compliance with the eligibility conditions in force on the date of the request.
Article 9 — Information to the User
The User is informed of the activation of their area by a notification in the App and by email. In the event of refusal, they may renew their request from their area and contact support for an explanation.
Article 10 — Pausing the area
10.1. The area may be paused, in particular where verification of the User’s account or identity needs to be updated.
10.2. A pause suspends new transactions only. Positions are kept in full. The area is restored as soon as the situation has been regularised.
Title III — Catalogue of Instruments
Article 11 — Composition of the catalogue
11.1. The catalogue comprises twenty-seven Instruments: seven ETFs and twenty listed individual shares.
11.2. The seven ETFs, all issued by iShares, cover the following exposures: International equities – World (iShares Core MSCI World); Large US companies – S&P 500 (iShares Core S&P 500); US technology – Nasdaq-100 (iShares NASDAQ 100); European equities (iShares Core MSCI Europe); Swiss equities (iShares SMI ETF (CH)); Technology and artificial intelligence (iShares S&P 500 Information Technology Sector); Government bonds (iShares Core Euro Government Bond).
11.3. The twenty shares are: Apple, NVIDIA, Microsoft, Amazon, Alphabet, Meta, Tesla, Netflix, Berkshire Hathaway, JPMorgan Chase, Visa, Coca-Cola, Walt Disney, NIKE (United States); Nestlé, Roche, Novartis (Switzerland); LVMH, ASML (Europe); Dangote Cement (Africa, Nigerian Exchange).
Article 12 — Identification of Instruments
Each Instrument Page presents the official name, the ISIN code where one exists, the ticker, the place of listing, the currency, the profile of the company or fund, the dividend or distribution policy, the terms and the fees. For ETFs, it also provides access to the key information document and the issuer’s page.
Article 13 — Presentation categories
13.1. Instruments may be presented by category: popular shares; by geographical area (United States, Switzerland, Europe, Africa); by sector (Technology, Health / Pharma); dividend shares.
13.2. Categories are simple filters applied to a single page. The same share may appear in several categories. This classification is purely indicative and constitutes neither a recommendation nor a guarantee.
Article 14 — Changes to the catalogue
Prosperise may modify, add or remove Instruments from the catalogue. The Users concerned are informed as soon as possible. The removal of an Instrument from the catalogue has no effect on positions already held, which continue to be managed in accordance with these Terms.
Article 15 — Market data
15.1. The prices displayed are delayed closing prices, updated every trading day, dated and sourced. They are not real-time prices. The App indicates when a price needs to be refreshed.
15.2. Prices are presented in the Instrument’s quotation currency and converted into euros at the last known exchange rate. The final amount depends on the price and the rate applied at the time of actual execution.
Article 16 — No offer
The display of an Instrument in the catalogue constitutes neither an offer to buy nor an investment recommendation.
Title IV — Orders
Article 17 — Purchase journey
17.1. A purchase is made in three steps, identical for shares and ETFs: entering the amount, checking the summary, then confirming.
17.2. The summary presents, in particular, the last price, the reference price, the estimated quantity, the fees and the total. The final quantity is that of the actual execution.
Article 18 — Amounts
The applicable minimum and maximum amounts are indicated in the purchase form. For Instruments bought in whole units, the form indicates whether the amount entered makes it possible to acquire at least one security at the reference price.
Article 19 — Quantities and fractions
19.1. For US shares, the User invests by amount and may hold fractions of a security, up to six decimal places. Fractions acquired appear in the portfolio like any held position.
19.2. Swiss and European shares, as well as Dangote Cement, are bought in whole units.
Article 20 — Life cycle of an Order
20.1. Each Order follows a structured status cycle: awaiting payment or request recorded (PENDING); funded (FUNDED); execution in progress (EXECUTION_PENDING); executed (EXECUTED); held (HELD_CONFIRMED). For a sale: sale in progress (SELL_PENDING), executed, then settled (SETTLED).
20.2. The “Expired” status indicates that the payment period for an Order funded in USDT has passed, without any debit. The “Not executed” status indicates that the Order could not be completed; the reason is displayed and the funds committed are returned.
20.3. Each Order has a unique reference and a dated history of its stages. The User is notified of each important stage, in the App and by email.
Article 21 — Execution
21.1. An Order is not executed immediately. It follows the processing stages described in article 20.
21.2. Prosperise does not guarantee the execution of an Order, the execution price or the execution time. Execution depends on market conditions, trading hours, the liquidity of the Instrument and processing procedures.
Article 22 — Cancellation of a buy order
22.1. An Order paid from the Main Balance may be cancelled for as long as it has the “Funded” status; the amount is then immediately credited back to the Main Balance.
22.2. An Order funded in USDT may be cancelled for as long as the transfer has not been made.
Article 23 — Order not executed
Where an Order cannot be executed, it moves to the “Not executed” status, the reason is displayed in the transaction details and the amount committed is returned to the User, who is notified accordingly.
Title V — Funding of Orders
Article 24 — Funding from the Main Balance
24.1. The amount is debited only once, at the time of confirmation.
24.2. The technical mechanisms in place prevent any double debit, including in the event of multiple clicks or an unstable connection.
Article 25 — Funding by USDT transfer
25.1. The User chooses the USDT transfer and the network offered. The App indicates the exact amount to be sent, the receiving address and the payment period.
25.2. The transfer is linked exclusively to an identified Order. The User enters the hash of their transaction; the same hash can be used only once. The team confirms receipt before the Order moves to the “Funded” status.
25.3. A transfer cannot fund several Orders. Insufficient payments are refused, unless explicitly accepted, with a recorded trail, by an administrator.
25.4. An Order not paid within the period indicated expires, without any debit. The User may place a new Order, with an updated price and period.
Article 26 — Remainder
Any uninvested Remainder is automatically returned to the User’s Main Balance, including where funding was made in USDT.
Article 27 — Precautions for crypto-asset transfers
27.1. The User carefully checks the amount, network and address displayed before sending anything. Blockchain transactions are irreversible.
27.2. In the event of an error, the User promptly contacts support, stating the Order reference and the transaction hash. The recovery of funds sent to an incorrect address or on an incorrect network cannot be guaranteed.
Title VI — Holding of positions
Article 28 — “Held” status
28.1. The “Held” status means that the execution of the order has been verified and that the position is recorded with the corresponding custody references. This status constitutes internal proof of holding. It does not constitute a guarantee against market risk.
28.2. The “Held” status (technical status HELD_CONFIRMED) is assigned by MyProsperise’s authorised teams, after verification of the execution references and the corresponding custody documents. No position is presented as held without having reached this status.
28.3. A position bearing the “Held” status is presented affirmatively in the User’s area.
Article 29 — Securities account and confirmation date
Securities bearing the “Held” status appear in the User’s securities account in the Invest area, with the date on which the holding was confirmed.
Article 30 — Proof-of-holding documents
Proof-of-holding documents and associated documents are kept in a private and secure infrastructure, accessible only to authorised persons and departments. Artificial intelligence assistants have no access to them.
Article 31 — Valuation and performance of the portfolio
31.1. Each position is valued by multiplying the quantity held by the last closing price, converted into euros where necessary. The date of the price used is indicated.
31.2. The portfolio presents the value, the cost price and the performance, in amount and as a percentage, as well as realised gains, presented separately. These items are for information purposes and change with the market.
Title VII — Sale and settlement
Article 32 — Sale request
32.1. The User may request the sale of their held positions at any time from the App. The sale is executed on the market, in accordance with its trading hours and conditions.
32.2. In the current version of the Service, a sale is executed for the entire quantity requested.
Article 33 — Cancellation of a sale
A sale may be cancelled for as long as it has not been executed. The securities concerned then immediately become available again in the portfolio.
Article 34 — Settlement and destination of funds
34.1. After execution of the sale and settlement, the funds are directed, according to the User’s choice and the options available, to the MyProsperise Main Balance or to an external settlement in USDT where this option is enabled.
34.2. In the case of a USDT withdrawal, the User chooses the network and their receiving address; the App checks that the address is compatible with the chosen network. The withdrawal follows displayed stages (requested, under review, approved, sending in progress, sent), with the transaction reference once sending has taken place.
Article 35 — Timeframes
The time taken for funds to be made available depends on market conditions, the execution process and, where applicable, blockchain settlement times. No timeframe is guaranteed; the statuses of the transaction make it possible to follow its progress. Prosperise does not guarantee the absence of network or currency conversion fees in connection with a settlement in USDT.
Title VIII — Specific regime for Dangote Cement
Article 36 — Dangote Cement
36.1. Dangote Cement shares (ticker DANGCEM) are listed on the Nigerian Exchange, in naira (NGN). Their price is presented in its original currency, together with its euro equivalent calculated at the last known exchange rate.
36.2. Dangote Cement is bought exclusively by a USDT transfer allocated to the Order, in whole shares; any part of the amount not invested is credited to the Main Balance.
36.3. Dangote Cement is offered only as a one-off investment; no Monthly Plan is available for this Instrument.
36.4. Dangote Cement is sold on request sent to the team from the Instrument Page. The User indicates the quantity, views an estimate based on the last known price and may add a message. The quantity concerned is reserved; the team handles the execution and the User is notified at each stage, through to settlement in accordance with the instructions confirmed with them.
Title IX — Scheduled investment
Article 37 — Monthly plans
37.1. A Monthly Plan invests from the Main Balance on the day chosen by the User, between the 1st and the 28th of the month. The next instalment and the result of the last one are displayed on the plan.
37.2. A plan starts after the express acceptance of an investment mandate. An instalment is never debited twice, nor made up without the User’s consent.
37.3. If the balance is insufficient, the month concerned is simply skipped, without any new automatic attempt. After three consecutive failures, the plan is automatically paused.
37.4. The plan may be modified (amount, day), suspended, resumed or stopped at any time from the “Investment plans” section.
Article 38 — Eligible Instruments
Monthly Plans are available for all Instruments in the catalogue, except Dangote Cement. The User may hold several active plans at the same time, up to the limit indicated in the App.
Article 39 — Conditions of instalments
Each instalment gives rise to an Order processed under the same conditions as a one-off purchase, with the same 0% MyProsperise commission. Each invested instalment is notified with the reference of the corresponding Order.
Title X — Dividends and distributions
Article 40 — Payment of dividends
40.1. Where an issuer pays a dividend, the amount due on the securities bearing the “Held” status on the ex-dividend date set by the issuer is credited to the User’s MyProsperise account, after actual receipt of the funds.
40.2. The User receives a notification and an email for each dividend credited.
Article 41 — Details of payments
Each payment shows the gross amount, any withholding tax applied according to the issuer’s country, and the net amount credited. A dedicated section presents the dividends credited, payments in progress and the payment dates declared by issuers.
Article 42 — Distribution policy
42.1. Sixteen of the twenty shares in the catalogue currently pay dividends; Amazon, Tesla, Netflix and Berkshire Hathaway do not pay any at present.
42.2. Two ETFs are distributing: Swiss equities (annual distribution, additional payments possible) and Government bonds (semi-annual distribution). The other five ETFs are accumulating: their income is reinvested in the fund and is reflected in the value of the unit.
42.3. Dividends are neither fixed nor guaranteed. Their amount and payment depend on the decisions of each issuer and may be reduced, suspended or cancelled.
Title XI — Fees
Article 43 — MyProsperise commission
The commercial commission charged by MyProsperise on purchases and sales of ETFs and individual shares is set at 0%. This 0% commission corresponds to the MyProsperise platform’s own remuneration; it does not mean that the transaction is free of all costs.
Article 44 — Other costs
Other costs may be borne by the User depending on the Instrument and the funding method, in particular: management fees embedded in ETFs (TER); the difference between the buying price and the selling price (spread); currency conversion fees; blockchain network fees; fees of execution or settlement service providers; any transfer fees.
Article 45 — Prior information
The fees actually applicable are communicated before the final confirmation of each transaction. The “Fees and conditions” section of each Instrument Page presents the commission, the estimated external fees, the payment methods and the quantity rules. Actual fees appear in the execution details. The contractual fee schedule applicable at the time of the transaction is authoritative.
Title XII — Risks
Article 46 — Investment risks
The User acknowledges having read the following risks:
- Market risk: the prices of Instruments may go up or down depending on market conditions and on economic, geopolitical or sector-specific events.
- Risk of loss of capital: the amount recovered on a sale may be lower than the amount invested; a total loss is possible.
- Liquidity risk: market conditions may delay or prevent the execution of a transaction on the desired terms.
- Currency risk: for Instruments quoted in USD, CHF or NGN, exchange rate movements affect the value of the investment.
- Bond risk: for the Government bonds ETF, sensitivity to changes in interest rates and to the credit quality of the underlying issuers.
- Operational risk: systems, service providers and processes may be affected by interruptions, errors or incidents.
- Crypto-asset risks: for USDT transactions, address errors, the irreversibility of transactions, conversion risks and risks relating to blockchain networks.
- Issuer-specific and concentration risk: a share depends on the situation of a single company and may fluctuate more sharply than a diversified ETF; a concentrated investment increases this risk.
- Dividend risk: dividends are neither fixed nor guaranteed.
Article 47 — Performance
Past performance is not indicative of future results. No performance is guaranteed by MyProsperise.
Article 48 — Responsibility for decisions
The User alone decides on their investments. It is for the User to invest only sums they do not need in the short term and whose loss they can bear.
Title XIII — Invest Assistant
Article 49 — Role of the Invest Assistant
49.1. The Invest Assistant is available on the pages of the Invest area. It explains ETFs, shares and how the Service works, and presents, on a read-only basis, the User’s orders, positions, plans and dividends. It replies in French, English and German; for other languages, it offers to continue in English.
49.2. The assistant explains; it does not give investment advice. Buying and selling decisions are yours. This statement is permanently displayed below the input field.
49.3. The Assistant does not place any Order and does not modify any data. In particular, it refuses to indicate what to buy, the right time to buy or sell, an amount or an allocation, and it makes no price or performance forecasts.
49.4. The Assistant has no access to proof-of-holding documents.
Title XIV — Miscellaneous provisions
Article 50 — Notifications
The User is notified of the essential stages of their transactions: order received, funding confirmed, execution, securities held, sale settled, dividend credited. The essential stages are confirmed by email, in the User’s language.
Article 51 — Transaction history
The “Orders and movements” section keeps a record of each purchase, sale and settlement with its unique reference, its dated stages, the quantity and amount executed, the fees and, where applicable, the amount returned to the Main Balance.
Article 52 — Tax
Transactions may give rise to tax obligations, in particular in respect of distributed income (which may be subject to withholding tax in the issuer’s country), capital gains or losses and conversion transactions. MyProsperise makes a detailed transaction history available. It is for the User to determine and discharge their tax obligations. No information published in connection with the Service constitutes tax advice.
Article 53 — Liability
53.1. Prosperise uses reasonable means to ensure the proper operation of the Service. It does not guarantee the absence of interruption or the execution of Orders at specified prices or within specified timeframes.
53.2. Prosperise cannot be held liable for losses resulting from market fluctuations, liquidity conditions, errors by the User, in particular regarding the USDT transfer address, or acts of third parties.
Article 54 — Data protection
Personal data and information relating to transactions are processed in accordance with the Privacy Policy. Proof-of-holding documents are kept in a private database with strictly limited access; no direct access is granted to artificial intelligence systems.
Article 55 — Amendment and termination
55.1. Prosperise may amend these Terms. Users are informed of substantial amendments by any appropriate means.
55.2. Prosperise may suspend or terminate a User’s access to the Service in the event of a breach of these Terms or for legitimate reasons relating to security, compliance or the proper operation of the Service. Held positions are then managed in accordance with these Terms.
Article 56 — Governing law and jurisdiction
These Invest Terms are governed by English law. Any dispute relating to their interpretation or performance is subject to the jurisdiction of the courts of London, subject to applicable mandatory provisions.
Article 57 — Final provisions
57.1. If any provision of these Terms is declared void or unenforceable, the remaining provisions shall remain in force.
57.2. Failure by Prosperise to rely on a breach shall not be construed as a waiver of its right to rely on it subsequently.
